EagleWings Membership Programme

Terms and Conditions ("T&C")

1. General

1.1 The EagleWings membership programme (" Membership Program") is offered by EagleWings Cinematics Pte. Ltd. ("EW").

1.2 The Membership Program consists of the following tier:

i. Topaz Membership

ii. Emerald Membership

iii. Emerald Membership (Corporate)

1.3 Upon joining the Membership Program, members ("Members") shall be given an EagleWings membership (" Membership") which entitles the Members and Supplementary Members to a range of privileges.

1.4 Each Member shall be entitled to nominate supplementary members (" Supplementary Members") in accordance with the T&C.

1.5 The Members and Supplementary Members warrant that all information provided to EW is true and accurate and they have not wilfully withheld any material fact. In the event any information provided to EW is or becomes inaccurate or misleading (including in relation to any change or expiry of the Members� relevant credit card), the relevant Member or Supplementary Member shall immediately notify EW of the same. The Members and Supplementary Members give their consent for EW to verify the information provided to EW with any source as EW may deem appropriate. The Members and Supplementary Members shall indemnify EW in relation to all losses and damages that may be incurred due to the incorrect or misleading information.

1.6 EW reserves the right to amend the T&C from time to time at its sole and absolute discretion with or without prior notice, and the Members and Supplementary Members shall be bound by the T&C as may be amended from time to time.

1.7 EW reserves the right to transfer the Membership Program to its affiliated company (including to novate its rights and obligations under the Membership Program to such affiliated company) from time to time at its sole and absolute discretion with or without prior notice.

1.8 Each Member must be eighteen (18) years of age and above.

1.9 The Membership does not confer upon the Members and Supplementary Members any rights, title or interest in any property or assets owned by EW or made available for use by EW to the Members and Supplementary Members.

1.10 The Members and Supplementary Members shall abide and be bound by any terms and conditions as may be contained in any website, Membership Portal, marketing collaterals and/or mobile application used by EW as part of the Membership Program. In the event of any inconsistency between the T&C and the aforementioned sources, the terms and conditions of the T&C shall prevail.

1.11 Each Membership is strictly for the benefit of the particular Member (and such Supplementary Member(s) as validly nominated). Members and Supplementary Members shall in no event share the usage and benefit of their Membership with any third party.

2. Privileges

2.1 The Membership entitles Members and Supplementary Members to a range of privileges as set out in Schedule 1 (" Membership Privileges") in relation to the participating outlets specified therein (" Participating Outlets"). EW reserves the right to amend, withdraw or terminate any of the Membership Privileges from time to time at its sole and absolute discretion with or without prior notice, including to add or remove any Participating Outlet(s). In the event of any dispute, the decision of EW shall be final.

2.2 As and where applicable, the Members and Supplementary Members shall strictly adhere to the rules and regulations of the Participating Outlets.

3. Term

Each Member and Supplementary Member shall remain as a Member and Supplementary Member (whichever is applicable) until such time that (1) EW terminates the Membership Program or (2) the Membership of the Member is terminated in accordance with the T&C (" Term").

4. Fees

Membership Entrance Fee

4.1 Upon approval of the application for Membership, the Member shall pay to EW a one-time membership entrance fee ("Membership Entrance Fee") as indicated in the membership application form ("Application Form").

4.2 The Membership Entrance Fee paid by the Member is strictly non-refundable to the Member.

Monthly Membership Charge

4.3 During the Term, each Member shall pay to EW a monthly membership charge in accordance with the following ("Monthly Membership Charge"):

i. Topaz Membership: S$75 per month (inclusive of GST)

ii. Emerald Membership: S$150 per month (inclusive of GST)

iii. Emerald Membership (Corporate): S$150 per month (inclusive of GST)

4.4 Upon approval of the application for Membership, each Member shall pay to EW the following:

i. a deposit equivalent to two (2) months of Monthly Membership Charge ("Deposit"); and

ii. Monthly Membership Charge for the first month of Membership starting from the date of application for Membership ("Application Date").

4.5 Following the payment in Clause 4.4, the Monthly Membership Charge shall continue to be payable by the Member to EW in advance on a monthly basis during the Term via an automatic charge to the Member's credit card (details of which are set out in the Application Form), with the first automatic charge being on the date falling one (1) month from the Application Date ("Monthly Charging Date"). For the avoidance of doubt, where the Monthly Charging Date does not exist in a calendar month, the Monthly Charging Date for that calendar month shall be deemed to be on the nearest preceding date to the original Monthly Charging Date.

4.6 Monthly Membership Charge is strictly non-refundable to the Member, except in the following circumstances:

i. the Membership Program is terminated by EW; or

ii. EW in its sole and absolute discretion in writing agrees to the refund of Monthly Membership Charge.

4.7 Subject to Clause 4.6, the amount of Monthly Membership Charge paid by the Member to be refunded will be pro rata based on the remaining period left in the relevant calendar month as calculated from the date of termination of the Membership Program or the Membership (as the case may be).

Deposit

4.8 The Deposit (or any part remaining thereof) is strictly non-refundable to the Member, except in the following circumstances:

i. the Membership is terminated by the Member in accordance with Clause 10.1 or 10.2;

ii. the Membership Program is terminated by EW; or

iii. EW in its sole and absolute discretion agrees in writing to the refund of the Deposit.

4.9 EW reserves the right to offset from the Deposit any outstanding payment owing by the Member to EW.

5. Nomination of Supplementary Members

5.1 Members may nominate Supplementary Members subject to the following:

i. each Member under the Topaz Membership may nominate up to four (4) Supplementary Member(s), provided that the Member pays a monthly charge ("Supplementary Membership Charge") of S$25 (inclusive of GST) for each of the second to fourth Supplementary Member(s) nominated by such Member;

ii. each Member under the Emerald Membership may nominate up to five (5) Supplementary Member(s) provided that Supplementary Member(s) are from the same household as the Member; and

iii. each Member under the Emerald Membership (Corporate) may nominate up to four (4) Supplementary Member(s), provided that Supplementary Member(s) are under the employment of the same organisation as the Member and the Member pays a Supplementary Membership Charge of S$50 (inclusive of GST) for each of the second to fourth Supplementary Member(s) nominated by such Member.

5.2 For nomination of Supplementary Members under the Topaz Membership and the Emerald Membership (Corporate):

i. upon approval of the nomination of each of the second to fourth Supplementary Member(s), the Member shall forthwith pay to EW the applicable Supplementary Membership Charge starting from the date of nomination of such Supplementary Member(s) and ending on the Member's next Monthly Charging Date ("First Charging Date") (calculated on a pro rata basis);

ii. following the payment in Clause 5.2(i), the applicable Supplementary Membership Charge shall continue to be payable by the Member to EW in advance on a monthly basis via an automatic charge to the Member's credit card (details of which are set out in the Application Form) on the Member's Monthly Charging Date, with the first automatic charge being on the date falling one (1) month from the First Charging Date; and

iii. for the avoidance of doubt, each Member under the Topaz Membership and Emerald Membership (Corporate) may nominate one (1) Supplementary Member without any charge.

5.3 Upon receiving the Member's nomination for any Supplementary Member(s), EW shall be entitled to request the necessary identification documents to verify the identity of the Supplementary Member(s) and validate the relationship of such Supplementary Member(s) with the Member (where applicable). For the avoidance of doubt, EW shall have sole and absolute discretion in the approval of the nomination of Supplementary Member(s), including the determination of whether such Supplementary Member(s) are from the same household as the Member (where applicable).

5.4 The Member shall be entitled to effect a change of nominated Supplementary Member(s) at any time by giving written notice to EW of the details of the outgoing Supplementary Member(s) and the incoming Supplementary Member(s), and such change shall be effective upon the approval in writing of EW at no additional charges. For the avoidance of doubt, any nomination of incoming Supplementary Member(s) shall be subject to the same terms as set out in this Clause 5.

5.5 The Member shall be entitled to terminate nominated Supplementary Member(s) at any time by giving written notice to EW, and such termination shall be effective on the day before the Member's next Monthly Charging Date.

5.6 By providing the personal data of any Supplementary Member(s) to EW, the Member represents and warrants that the Member has explained the purpose for the disclosure of the Supplementary Member's personal data to EW, and has obtained the Supplementary Member's consent to the collection, use and disclosure of personal data by EW in accordance with Clause 12 of the T&C.

6. Credits

6.1 Subject to and in consideration of the payment of Monthly Membership Charge and Supplementary Membership Charge (where applicable) by the Member to EW, the Member shall be issued credits on a monthly basis ("Credits").

6.2 Supplementary Members are able to utilise the Member's Credits, and Members are deemed to have consented to the utilisation of Credits by Supplementary Member(s) upon the nomination of such Supplementary Member(s).

6.3 The terms and conditions relating to (1) the issuance of Credits by EW to the Members; (2) the use of Credits by the Members (or Supplementary Members, as the case may be) and (3) the expiry of Credits are as set out in Schedule 2. EW reserves the right to amend such terms and conditions from time to time at its sole and absolute discretion with or without prior notice.

6.4 For the avoidance of doubt, Credits are strictly not convertible into cash.

7. Membership Card and Membership Portal

7.1 Each Member and Supplementary Member shall be issued with an electronic card ("Membership Card").

7.2 The Membership Privileges shall be extended to the Members and Supplementary Members strictly upon presentation of the Membership Card and any further form of identification (if deemed necessary by EW).

7.3 In addition, each Member and Supplementary Member will also be issued his own log-in details to his personal membership portal on EW's designated website ("Membership Portal"). The Members and Supplementary Members shall not share the log-in details of the Membership Portal with any third parties.

8. Transfer of Membership

8.1 Each Member may transfer his Membership (along with any unutilised Credits), at any time subject to the following:

i. written notice given by the Member to EW, along with the Application Form duly completed by the transferee;

ii. no subsisting default by the Member of any payment(s) due to EW and no subsisting breach by the Member of any T&C;

iii. approval of the transfer of Membership by EW in its sole and absolute discretion; and

iv. payment to EW of a transfer administrative fee of S$107 (inclusive of GST).

8.2 Upon the transfer of the Membership of a Member, the Membership of the Supplementary Member(s) as nominated by such Member shall automatically terminate with immediate effect.

9. Suspension

EW may in its sole and absolute discretion suspend the Membership of a Member and the Supplementary Members (along with the Membership Privileges) in the event of any of the following:

i. the Member defaults on any payment(s) due to EW; and/or

ii. in the course of investigation by EW of an alleged breach of any T&C by the Member or the Supplementary Member.

10. Termination

Termination by a Member

10.1 A Member under the Emerald Membership and the Emerald Membership (Corporate) shall be entitled to terminate the Membership at any time by written notice to EW, provided always that such notice period shall be at least two (2) whole months and the termination of the Membership shall be effective on the day before the Monthly Charging Date falling immediately after such notice period. For the purposes of illustration, if a Member's Monthly Charging Date is on the 15^th day of each month, and such Member provides the said written notice to EW on 30 September 2021, the Membership will be terminated on 14 December 2021.

10.2 A Member under the Topaz Membership shall be entitled to terminate the Membership at any time by written notice to EW, provided always that such notice period shall be at least two (2) weeks and the termination of the Membership shall be effective on the day before the Member's next Monthly Charging Date. For the purposes of illustration, if a Member's Monthly Charging Date is on the 15^th day of each month, and such Member provides the said written notice to EW on 30 September 2021, the Membership will be terminated on 14 October 2021.

Termination by EW

10.3 EW may in its sole and absolute discretion terminate the Membership Program at any time by written notice to the Members, upon which the Memberships shall be automatically terminated with immediate effect. For the avoidance of doubt, in the event of such termination the Members shall not be entitled to any refund from EW save as otherwise provided in the T&C.

10.4 EW may in its sole and absolute discretion terminate the Membership of a Member with immediate effect without any refund of Monthly Membership Charge or Deposit in the event of any of the following:

i. any information provided or declaration made by the Member in the Application Form is or becomes inaccurate or misleading;

ii. the Member defaults on any payment(s) due to EW; and/or

iii. the Member breaches any T&C.

10.4 Upon termination of the Membership of a Member for any reason whatsoever, the Membership of the Supplementary Member(s) as nominated by such Member shall automatically terminate with immediate effect.

11. Liability

11.1 EW shall in no event be liable in respect of the death of or personal injuries to any Member and Supplementary Member arising in any way out of their Membership or through their use or enjoyment of the Membership Privileges.

11.2 EW shall in no event be liable for any loss or damage (including but not limited to loss or damage to any article or property) suffered by any Member or Supplementary Member arising in any way out of their Membership or through their use or enjoyment of the Membership Privileges.

12. Personal Data

12.1 EW's privacy policy, available at https://members.eaglewings.group/privacy.php and as may be amended, supplemented and substituted from time to time, is incorporated by reference and forms part of the T&C and shall apply to all personal data that is provided by the Members and Supplementary Members to EW arising from or in connection with the Membership Program.

12.2 By signing the Application Form and submitting personal data to EW, each Member and Supplementary Member consents to EW's collection, use, processing and disclosure of such personal data for the purpose of processing the Member's and Supplementary Member's membership application, in the course of EW administering the Membership Program and for other marketing and promotional communications (unless EW has been notified otherwise), in accordance with the Personal Data Protection Act 2012 as may be amended from time to time, and EW's privacy policy, available at https://members.eaglewings.group/privacy.php.

13. Communication and Marketing

13.1 Any written notice to be given by Members and Supplementary Members to EW shall be in the form of electronic mail and sent to [email protected].

13.2 EW may send any cards, notices, or any other communication to Members and Supplementary Members by SMS, WhatsApp, electronic mail, ordinary pre-paid post or personal delivery to their last known address or the address stated in the Application Form.

13.3 EW may from time to time provide update(s) on the Membership Program on the Membership Portal, and Members and Supplementary Members shall keep abreast of such updates on the Membership Portal.

13.4 EW may collect personal data of Members and Supplementary Members through recordings taken via security cameras or other forms of photography, video or sound recording at EW's premises or at any events or programmes organised by EW, and EW may use or disclose such personal data for promotional and publicity purposes of EW (and its event co-organisers and co-sponsors, as may be applicable). Members and Supplementary Members may notify EW in writing to withdraw their consent from having their personal data taken at specific events or programmes organised by EW.

14. Governing Law and Dispute Resolution

The T&C shall be governed by and construed in accordance with the laws of Singapore. Any dispute arising out of or in connection with the T&C shall be referred to and finally resolved by the Singapore Courts.
